Intellectual Property Rights

Unless otherwise specified in writing, UXBase Web Design Agency retains ownership of all design templates, frameworks, code libraries, development methodologies, and proprietary tools used in creating your website. You receive a license to use these elements as part of your completed project.
Your Intellectual Property
You retain full ownership of your original content, logos, brand materials, and any intellectual property you provide to us. We do not claim ownership of your business assets, brand identity, or content created by your organization.
Licensing and Usage Rights
Upon final payment, you receive a perpetual, non-exclusive license to use the completed website and any custom code developed specifically for your project. This license includes the right to modify, maintain, and extend the website independently, though we recommend maintaining our support for optimal performance.
Portfolio and Marketing Rights
UXBase reserves the right to display completed projects in our portfolio, case studies, and marketing materials unless you explicitly request confidentiality in writing. We will not disclose proprietary business information and will give you advance notice of any promotional use of your website.
Payment Terms and Billing
Payment Structure
- 1 50% deposit required to begin project

Note: Projects not paid within 30 days may be suspended. A 1.5% monthly service charge applies to overdue invoices. Full project ownership remains with UXBase until final payment is received.

External services, plugins, and integrations (social media APIs, payment gateways, analytics tools) may change or discontinue without notice. We will notify you of significant changes but cannot guarantee their continued availability.
Content Responsibility
Clients are responsible for ensuring all content, images, and materials provided comply with copyright laws and do not infringe on third-party rights. UXBase will not be liable for copyright infringement claims.
Project Timeline and Change Management
Project Timelines
Typical projects complete within 4-8 weeks depending on complexity and client responsiveness.
Change Requests
Minor revisions are included; major changes may require additional time and cost estimates.
Quality Assurance
Comprehensive testing and client approval required before project launch.
Termination and Cancellation
Client-Initiated Termination
Clients may terminate projects at any time with written notice. The following conditions apply:

- ! Non-refundable deposit applies to projects terminated before 25% completion
- ! All project files and assets delivered upon final payment
- ! 30-day notice required for ongoing maintenance contract cancellations
Agency-Initiated Termination
UXBase reserves the right to terminate projects under the following circumstances:
- ! Non-payment of invoices exceeding 15 days past due date
- ! Client provides false information or violates terms repeatedly
- ! Project scope becomes illegal or ethically problematic
- ! Extended client unresponsiveness (30+ days without communication)
Governing Law and Dispute Resolution
Jurisdiction
These Terms shall be interpreted and governed by the laws of the Philippines. Any disputes arising from these terms or our services will be resolved in the courts of Metro Manila, Philippines.
For projects involving international clients, these terms take precedence over conflicting local laws unless specifically prohibited by the client's jurisdiction.
Dispute Resolution Process
Direct Communication: Attempt resolution through direct discussion with your project manager.
Mediation: If direct communication fails, seek mediation through a mutually agreed third party.
Legal Action: As a last resort, pursue resolution through appropriate legal channels.
